About This Document

This Trademark Assignment Agreement transfers full ownership rights to a trademark (or trademarks) from one party (the Assignor) to another (the Assignee).
It formally conveys title to the trademark, associated goodwill, and enforcement rights, ensuring the Assignee lawfully owns and can fully use the mark.

  • Proper execution and notarization sections to authenticate the assignment

  • Appendix A to list specific trademarks, registrations, applications, and dates

Instructions for Completing the Template

  • Insert the Assignor’s and Assignee’s full legal names, and their respective State of Incorporation.

  • Fill in the date the assignment is executed.

  • Identify the agreement under which the assignment obligation arose (e.g., Asset Purchase Agreement, Intellectual Property Assignment Agreement).

  • Complete the State governing law for interpretation and enforcement.

  • Complete Appendix A:

    • List each Trademark Name, Country/Location, Registration Number, Registration Date, Application Number, and Application Date.

  • Ensure the Assignor signs the Signature Page, providing name and title.

  • Arrange for a notary public to notarize the Assignor’s signature.

  • File the completed Trademark Assignment with the United States Patent and Trademark Office (USPTO) and/or appropriate foreign trademark offices if required.
